Terms of Service

1. Acceptance of Terms

By accessing or using ZapPayments (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. We may update these terms at any time, and continued use after changes constitutes acceptance.

2. Account Terms

  • You must be at least 16 years old to use the Service.
  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized access to your account.
  • One person or entity may not maintain more than one free account.

3. Service Description

ZapPayments is an AI-powered invoicing platform that enables users to create, send, and manage invoices. The Service includes invoice generation, client management, payment tracking, recurring billing, and cash flow analytics. Features may vary by subscription plan and may be modified at our discretion.

4. Payment Terms

  • Free plan users may use the Service at no cost within stated limits.
  • Paid plans are billed monthly or annually as selected at signup.
  • All payments are processed securely through Stripe.
  • Stripe transaction fees (2.9% + 30¢ per transaction) apply to payment collection.
  • Subscription fees are non-refundable except as required by law.
  • We reserve the right to change pricing with 30 days' notice.
  • Failed payments may result in service suspension until resolved.

5. Acceptable Use

You agree not to use the Service to:

  • Send fraudulent, misleading, or illegal invoices
  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Use the Service for money laundering or financing illegal activities
  • Resell or redistribute the Service without authorization
  • Harass, abuse, or harm other users

6. Intellectual Property

You retain ownership of all content you create through the Service, including invoices and business data. ZapPayments retains ownership of the Service itself, including its software, design, branding, and AI models. You grant us a limited license to use your content solely to provide and improve the Service.

7. Limitation of Liability

To the maximum extent permitted by law, ZapPayments shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim. The Service is provided “as is” without warranties of any kind, express or implied.

8. Indemnification

You agree to indemnify and hold harmless ZapPayments and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any rights of a third party.

9. Termination

You may cancel your account at any time through your account settings. We may suspend or terminate your account if you violate these terms or engage in activity that harms the Service or other users. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts located in Delaware.
